MONARCH QUILTERS BY-LAWS
Article I -GENERAL
Section 1- Name
The name of the organization shall be Monarch Quilters.
Section 2 - Purpose
This organization was formed in 1987 to promote the preservation of the great heritage of quilting, to educate and encourage members in the quilting arts, to encourage high standards of excellence in quilting and related arts, and to stimulate interest in quilting in the community.
Article II - MEMBERSHIP
Section 1 - Definition
A member is one whose current dues are paid. Membership shall not be restricted on the basis of race, nationality, sex, age, religion, or geographic boundaries.
Section 2 - Dues
Annual dues, to be determined by the Board of Directors, shall be payable in advance on or before January each year. In order for one's name to appear in the Membership Directory, dues must be received by December 15 of the previous year.
Section 3 - Benefits
The newsletter at no charge.
Free participation in Monarch Quilter meetings.
Participation in the Block of the Month program and Challenge.
Section 4 - Restrictions
A member will not give away or sell the Membership Directory. Membership information cannot be used or shared for any purpose other than Monarch Quilters business. Failure to adhere to this directive may result in expulsion from Monarch Quilters.
Each member agrees, as a condition of membership, to release and waive any claim he or she has or may have against Monarch Quilters, its officers, employees, committee members or agents arising out of or related to the member's particip tion in the activities of Monarch Quilters or arising out of any action taken by Monarch Quilters or its Board of Directors to discipline or expel any member or officer.
Section 5 - Participation. Members are responsible for:
Familiarizing themselves with the By-Laws and Policies & Procedures.
Making and wearing a name tag at each meeting. A pattern is in the Membership Directory.
If purchased, wearing the official membership pin designed for members only.
Article Ill - OFFICERS
Section 1- Elected Officers
The elected officers of Monarch Quilters shall be President, two Vice-Presidents, Secretary, and Treasurer.
Section 2 - Duties of Officers
The President shall:
Preside at all General, Executive, and Board Meetings.
Prepare a written agenda for each General Meeting.
Become familiar with the By-Laws of Monarch Quilters.
Attend and conduct General Meetings according to Robert’s Rules of Order
Sign checks in absence of the Treasurer.
Conduct monthly Executive Committee and Board Meetings as needed.
The two Vice Presidents shall be responsible for sharing Programs and Workshop Committees. These Co-chairs will divide responsibilities as needed and notify the executive committee of their plans at the first executive committee meeting of the year. And shall::
Decide which one of them will preside in the absence or at the request of the President.
Be Chairs of the Programs and Workshops Committee and oversee these duties:
Form a committee of additional members at her discretion.
Submit a budget for approval.
Contact and contract members or non-members for Programs and Workshops.
Work with the facilities to ensure availability of appropriate dates.
Reserve accommodations for out-of-town instructors when requested.
Assist Program and Workshop instructors with any set-up, tear-down or meals.
Provide timely monthly information to the Newsletter Editor and Publicity Chair.
Keep accurate financial records.
3. Be responsible for an appropriate thank you gift for the outgoing President.
The Secretary shall:
Record the proceedings of all Executive, General, and Board meetings.
Provide copies of said minutes to the membership.
Prepare general correspondence as requested by the President.
The Treasurer shall:
Maintain financial records.
Pay regular expenses.
Reimburse officers and committee chairs for expenses upon presentation of receipts signed by person requesting refund.
Prepare and present a Treasurer's Report to be published in the newsletter.
Obtain and/or renew sales tax license and file all applicable reports.
Present a proposed budget for approval by the February Executive Committee meeting. All expenditures not in the approved budget must subsequently be approved by the Executive Committee before payment may be made.
For Quilt Show:
Provide cash bank for Registration Desk and Boutique.
At closing of each day, count money from Registration Desk and Boutique, leaving each with the amount of the original bank for the next day. Money should be counted in the presence of a second party, who shall sign the deposit slip. Registration Desk and Boutique income should be tracked separately.
Pay all approved expenses.
Section 3 - Election of Officers
Election of officers shall be in November of each year . Officers shall serve for a one-year term and their term shall begin January 1. No member shall be eligible to serve more than four consecutive terms in the same office.
Section 4 - Vacancies
A vacancy in the office of President shall be filled by the one of the Vice-Presidents. Subsequent vacancies on the Executive Committee shall be filled by appointment of the Board of Directors.
Section 5 - Executive Committee
The Executive Committee of Monarch Quilters shall consist of President, two Vice-Presidents, Secretary, Treasurer, and Immediate Past President.
Section 6 - Board of Directors
The Board of Directors of Monarch Quilters shall consist of the Executive Committee and the Chair of each Standing Committee.
Section 7 - Nominating Committee
The Executive Committee shall appoint a Nominating Committee Chair by August 1of each year. The Chair shall form a committee of three additional members who shall present its report at the October General Meeting. The Nominating Committee will present a slate of officers and Committee Chairs to the membership by the October meeting.
Article IV - STANDING COMMITTEES
Section 1- The Standing Committees are Audit, Block of the Month, Challenge, Community Projects (North, South), Directory, Historian, Holiday Party, Hospitality, Membership, Newsletter, Publicity, Programs and Workshops, Quilt Show, and Sunshine.
Section 2 - Duties of Committee Chair
Notify the President of all committee meetings.
Submit a budget to the Treasurer within the first three weeks of January.
Attend meetings of the Board of Directors.
Transfer committee files to their successor.
Be responsible for keeping the newsletter editor advised of pertinent information.
Article V – MEETINGS
Section 1 – General Meetings
General meetings will be held the second Monday of each month. Business meetings shall begin promptly at 9:30 am with the program beginning no later than 10:45 am. Refreshments and social time shall be from 9:00 am to 9:25 am.
The meeting place shall alternate between Chaffee county north area and Chaffee county south area. Other meeting places may be arranged with the approval of the Executive Committee.
The agenda for the General meeting will be finalized at the Executive Committee meeting held prior to the General meeting. Members with agenda items for inclusion should submit, in writing, said items to the Executive Committee.
Visitors are welcome to the General meetings. A small fee, determined by the Executive Committee, will be charged for attendance. There will also be an additional charge for non-members for workshops.
Section 2 – Executive Committee Meetings
The Executive Committee shall meet as needed with the date and time to be decided by the President.
Section 3 - Board of Director Meetings
Meetings of the Board of Directors shall be held as needed or requested by Board members.
Article VI - DISSOLUTION OF MONARCH QUILTERS
In the event it becomes necessary to dissolve Monarch Quilters, the Board of Directors shall decide the dissolution process. Monies in the treasury, after all debts are paid, shall be used to further the concept of quilting within the state of Colorado, as determined by the Board of Directors.
Article VII - AMENDMENTS OF BY-LAWS
These By-Laws may be amended at any time by a majority vote of members present at a scheduled General Meeting, provided the amendment has been published in one issue of the newsletter prior to the membership vote.

Promote and encourage members to participate by newsletter and meeting announcements.
Facilitate voting and award prizes.
Hang all entries at the quilt show.
Directory/Advertising
Have directory printed.
Have directory distributed to all members at January meeting in South area and February meeting in the North area. Mail to out-of-towners no later than January 20. Avoid mailing the directory to members who live locally.
Solicit advertising for newsletter and directory by e-mail, phone or in person, no later than December 1.
Rates set by Executive Committee.
Any non-quilt related business advertising is acceptable, i.e., restaurants, resale shops, etc.
No pro-rating. Payment for calendar year only.
Only members receive a copy of the membership directory.
Historian
Keep the scrapbooks.
Take pictures of Show & Tell items at the General Meetings. Appoint photographer if unable to take photos.
Take pictures of the entries displayed in the quilt show.
Cut clippings of interest to/of MQ members from local newspapers.
Holiday Party
Form committee to assist with the following duties:
Make party favors.
Decorate tables (or ask members to decorate a table).
Assist with auction.
Determine how to handle food for the party.
Prepare and run auction or program and activities. Auction duties follow:
Reserve date with auctioneer.
Determine recipient of the auction funds.
Announce to membership at October and November General Meetings. Request donation items.
Provide donors with card for item description and starting price.
Record buyers, final bids and collect payments.
Present auctioneer with thank you card, including token of appreciation.
Hospitality
Greet guests, have guest book signed with name and address, provide name tag and give Guest Info card to visitor.
Keep a book with names and addresses of guests.
Appoint members to welcome guests and introduce them to guild activities and to other members.
Send cards to guests who attend MQ meetings.
After the first visit, collect a fee of $5.00 from non-members who continue to come without joining.
Membership
Receive membership fees and take member photograph for newsletter and directory.
Membership is January-December. After February, a partial year is pro-rated at $3 per month.
Membership is for individuals only.
Maintain membership roster.
Add new members as they pay membership fee.
Provide information for directory after December 15.
Provide new members with a current directory. Point out features of the directory, particularly the name tag pattern and by-laws. If interested in current BOM or previous newsletters, introduce them to those committee chairs.

October/November/December – Provide form for renewing membership.

Sunshine
Send card to people in need of cheer – Sympathy, Thinking of You, Get Well, no birthday.
Make Sunshine announcement at monthly MQ meeting.
Workshops
Register at meetings or by mail with Vice-Presidents/Program Chair.
Workshops are filled on a first come, first serve basis.
Workshop fees are required at the time of registration to reserve your space in the workshop.
There will be no refunds unless the workshop has been cancelled.
For any paid workshop, members pay a maximum fee of $25 and non-members pay a minimum of $5 more than members.
Members conducting workshops may be paid a maximum of $150.00 plus reimbursement of expenses.
All class materials and patterns must adhere to international property laws.

For any paid workshop, members pay a maximum fee of $25 and non-members pay a minimum of $5 more than members.
Members conducting workshops may be paid a maximum of $150.00 plus reimbursement of expenses.
All class materials and patterns must adhere to international property laws.
